Paddock20 provides custom software development, AI application development, operations platform engineering, and related consulting services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate Statement of Work ("SOW") or project agreement executed by both parties. These Terms apply in addition to any SOW.

3. Website Use

You may use this website for lawful purposes only. You agree not to:

• Use automated tools to scrape, crawl, or copy content without permission
• Attempt to access systems or data you are not authorized to access
• Submit false, misleading, or fraudulent information through contact forms
• Interfere with or disrupt the website or its infrastructure

For client projects: intellectual property ownership and license terms are defined in the applicable SOW. Unless otherwise agreed in writing, all custom code, designs, and deliverables created for a client become the client's property upon receipt of final payment in full.

5. Payment

All project fees, payment schedules, and payment methods are governed by the project SOW and our Payment Terms, available at paddock20.com/legal/payment-terms. By engaging our services, you agree to those Payment Terms.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement. This includes technical specifications, business strategies, client data, and pricing. Confidentiality obligations survive termination of any engagement for a period of two (2) years.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Paddock20's total liability for any claim arising from our services shall not exceed the total fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

8. Warranty Disclaimer

The website and any materials provided are offered "as is" without warranty of any kind. We do not warrant that the website will be uninterrupted or error-free. For project deliverables, warranty terms are defined in the applicable SOW.

9. Termination

Either party may terminate a project engagement per the terms of the applicable SOW. Paddock20 reserves the right to terminate website access or refuse service to any party that violates these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Davidson County, Tennessee, or through binding arbitration as mutually agreed.

11. Changes to Terms

We may update these Terms at any time. Continued use of our website or services after changes constitutes acceptance. Material changes will be communicated to active clients directly.
